Overview
These Terms of Service ("Terms") govern your use of the OnlineThrive website at onlinethrive.org and the managed virtual assistant services we provide. By accessing the website, submitting an inquiry, or engaging our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use our website or services.
Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use our services. By engaging OnlineThrive, you represent that you meet these requirements.
Services & Scope
OnlineThrive provides managed virtual assistant services including, but not limited to, administrative support, e-commerce operations, research, social media assistance, data entry, reporting, and light process setup.
The specific tasks, schedule, and deliverables for each engagement are agreed upon during onboarding and may be adjusted by mutual written consent (including via email, Telegram, or WhatsApp messages).
We do not provide legal, financial, medical, or professional advisory services. Our assistants execute tasks under your direction and are not a substitute for licensed professionals.
Onboarding & Access
Upon engagement, you will be asked to provide access to the tools, platforms, and environments necessary for your VA to perform assigned tasks. This may include Remote Desktop (RDP) credentials, platform logins, or shared documents.
- You are responsible for granting only the access levels required for the work.
- We recommend using dedicated accounts or role-based permissions where possible.
- OnlineThrive is not liable for any unauthorized actions arising from credentials you share beyond what is needed for the engagement.
Payment Terms
- Our standard rate for a full-time VA (8 hours/day, 6 days/week) is $600 per month. Custom schedules are available upon request.
- Payment is due in advance at the beginning of each monthly service period.
- Accepted payment methods will be communicated during onboarding.
- Late payments may result in suspension of services until the balance is settled.
- Refunds are handled on a case-by-case basis. If hours are not delivered as promised (verified via DeskTime logs), we will compensate by rescheduling the missed time or issuing a proportional credit.
Hours & Reporting
All VA work hours are tracked using DeskTime time-tracking software installed on the assigned RDP. You will receive:
- Daily progress reports summarizing tasks completed, time spent, and any notes or blockers.
- Monthly DeskTime summaries showing logged hours per day.
Every hour you pay for is delivered. Any shortfall (as recorded by DeskTime) will be made up according to your scheduling preference.
Client Obligations
To ensure a productive engagement, you agree to:
- Provide clear task instructions and reasonable response times to VA questions.
- Grant timely access to necessary tools and platforms.
- Not assign tasks that are illegal, fraudulent, or violate third-party rights.
- Treat our team members with professional respect.
We reserve the right to decline or discontinue tasks that we reasonably determine to be illegal, unethical, or outside the agreed scope.
Confidentiality
We treat all client information, credentials, business data, and task details as confidential. Our assistants and supervisors are trained on data-handling practices and are instructed not to disclose, copy, or retain client information beyond what is necessary for service delivery.
Client work is performed within dedicated RDP environments. Data does not leave that environment unless you instruct otherwise.
This confidentiality obligation survives the termination of our engagement.
Intellectual Property
Any work product created by our VAs under your direction - including documents, spreadsheets, reports, and other deliverables - belongs to you, the client. OnlineThrive retains no ownership rights over work performed on your behalf.
Our website content, branding, design, and proprietary processes remain the intellectual property of OnlineThrive and may not be reproduced without written permission.
Limitation of Liability
OnlineThrive provides virtual assistant services on a best-effort, managed basis. While we strive for accuracy and reliability:
- We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
- Our total liability for any claim related to the services shall not exceed the fees you paid for the month in which the issue arose.
- We are not responsible for losses caused by inaccurate instructions, third-party platform outages, or circumstances outside our reasonable control.
Termination
Either party may end the engagement at any time with written notice (email is sufficient). Upon termination:
- Any remaining prepaid service days will be delivered unless you request an immediate stop.
- We will return or delete any client data and credentials within 7 business days of your request.
- Outstanding payments for services already rendered remain due.
We reserve the right to terminate an engagement immediately if a client violates these Terms or assigns tasks that are illegal or harmful.
Disclaimers
Our website and services are provided "as is" and "as available." We make no warranties, express or implied, regarding the website's uninterrupted availability, freedom from errors, or fitness for a particular purpose.
Work samples and portfolio items displayed on our website are representative of past client projects and do not guarantee identical results for future engagements.
Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of our services will be resolved through good-faith negotiation first. If negotiation fails, disputes will be submitted to the competent courts of the jurisdiction in which OnlineThrive operates.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
